Job Description

This is a mid-level paralegal position providing professional legal support on legal matters of a complex nature. This support may take the form of legal research, drafts of legal and business communications, filing preparations and management of files, databases and reports as requested. This position also performs other tasks as assigned by management.

Job Responsibilities:
• Conducts preliminary and varied non-routine legal and factual research in the law library and in computerized databases.

• Under supervision of an attorney, and more experienced paralegals, Paralegal Manager, Senior Manager or Director where appropriate, prepares information and analyzes data for review, including providing preliminary legal opinions where applicable.

• Under supervision of an attorney, and more experienced paralegals, Paralegal Manager, Senior Manager or Director where appropriate, prepares drafts of various forms, documents, and filings. May also maintain and update internal databases and routine reports.

• General administrative duties including copying, maintaining and updating files, creating binders, calendaring deadlines and schedules and scheduling meetings.

• May provide guidance and training to less experienced staff, where appropriate.

Education or Certifications:
• Paralegal certificate or equivalent work experience.
• BA Degree preferred.

Job Requirements

Experience:
Generally, the Paralegal IT position requires at least 5 years experience in law firm or equivalent experience in a Corporate Legal department.

Specialized Knowledge:
• Comprehensive understanding of ethical responsibilities.
• Knowledge and application of the fundamental concepts, practices, and procedures of the particular field of specialization. Knowledge of developing legal issues and trends in area of expertise.
Working knowledge in the following areas:
• Corporate governance best practices for legal entity maintenance (including, but not limited to, incorporations, qualifications, mergers and dissolutions)
• Preparation of annual stockholder and board consents
• Preparation of board consents for special purposes
• Legal entity maintenance in a database
• Research relating to an entity history
• Preparation of closing certificates
Working knowledge in the following areas is a plus:
• § 6 of the Securities Exchange Act
• Specialized software packages: ICSA Blueprint OneWorld,
• EDGAR (including Edgarease), Restricted Stock Systems
• Solutions for Public Companies (or other § 6 reporting software) and 10K wizard.


Skills:

• Working knowledge and proficiency using Microsoft Office suite.
• Working knowledge and proficiency in skills required for law library and computerized legal research (e.g. Lexis/Nexis, Westlaw, internet databases)
• Working knowledge and proficiency using software to maintain and track legal entity history and relationships
• Working knowledge and proficiency in iManage or equivalent document management application.
• Strong competency in critical thinking and written and verbal communication skills
• Strong organizational skills with an attention to detail; an ability to multi-task and prioritize work effectively.
• Ability to work effectively with wide range of constituencies in a diverse community
• Ability to give guidance and training to less-experienced staff as appropriate.
• Notary Public preferred
